2. Terms & Conditions for commercial real estate or renewable energy transactions

  1. Tinia Capital Partners - FZCO (hereinafter referred to as “TCP”) has been commissioned by the owner/seller or authorized by the owner’s/seller’s mandate to market a commercial real estate asset or project or renewable energy asset or project (hereinafter referred to as “Opportunity”).

  2. Every commercial real estate or renewable energy transaction is subject to a broker commission in form of a percentage of the notarized transaction value. In case the owner/seller does not pay the broker commission to TCP, the brokerage fee plus VAT (if applicable) has to be paid by the buyer. A commission is also due if a purchase contract for shares in the owner company or a Special Purpose Vehicle ("SPV") is concluded on the basis of TCP's verification and/or brokerage services. The broker commissions are:
    - 4.5 % for a notarized transaction value of up to 5 million USD
    - 4.0 % for a notarized transaction value of up to 15 million USD
    - 3.5 % for a notarized transaction value of up to 25 million USD
    - 3.0 % for a notarized transaction value of up to 35 million USD
    - 2.5 % for a notarized transaction value of up to 50 million USD
    - 2.0 % for a notarized transaction value of up to 75 million USD
    - 1.5 % for a notarized transaction value of up to 100 million USD
    - 1.0 % for a notarized transaction value over 100 million USD

  3. Our offers are strictly confidential. Any unauthorized disclosure to third parties, including authorized representatives or clients of the interested party, will result in full commission liability if the third party to whom the information was disclosed concludes the main contract.

  4. If the recipient is already aware of an Opportunity introduced by TCP, he must inform us of this immediately and provide evidence upon request. Until proven otherwise, our evidence shall be deemed to be causal for the conclusion of a contract. Subsequent evidence by third parties shall not change the causality of our evidence.

  5. Copies of the contracts and any subsequent supplementary agreements or amendment agreements must be sent to us without being requested to do so. We are permitted to act for the other party.

  6. Verbal collateral agreements require our written confirmation to be valid.

  7. English law shall apply; the place of performance and jurisdiction shall be London, insofar as this is legally permissible (unless otherwise mutually agreed in a specific contract).

  8. Should individual terms and conditions be or become invalid, this shall not affect the validity of the other terms and conditions.

  9. TCP does not assume any liability for correctness and completeness of information on a specific opportunity, as this information was provided by third parties.

  10. Any information about an Opportunity is handed over to interested parties with the understanding that they will independently carry out any research they consider necessary to assess the transaction, if necessary, with the assistance of expert legal and tax advice, and with the reservation that changes may occur with regard to the information provided. Any information and any offers are subject to change. We reserve the right to make changes and interim sales. Any information about an Opportunity is only intended for the recipient personally; it may only be passed on to third parties with the express written consent of TCP. All information about an Opportunity - insofar as it is not publicly accessible - is to be treated confidentially and used only for the purpose of a possible purchase or investment.
